Dual Registration as SEBI RA and IA: What the 2026 Master Circular Changed

An RA and an IA licence sit on different regulatory tracks. SEBI's February 2026 circular spells out, in one place, exactly how a firm can hold both.

Note: This describes the position under the February 6, 2026 Master Circular. Confirm the current text against SEBI's published circular before relying on it for a registration decision.

If you are weighing RA versus IA in the first place, start with the full comparison of the two licences. This post is for the narrower, increasingly common question: can a firm run both business models under one roof, and what does SEBI actually require if it does.

What the circular says

SEBI's Master Circular for Research Analysts and Investment Advisers, dated February 6, 2026, states that an individual or partnership firm already registered as an Investment Adviser can also register as a Research Analyst. This was possible before in practice, subject to managing conflicts and segregation, but the circular consolidates the position into one document with explicit conditions rather than leaving it to be inferred from two separate sets of regulations.

The disclosure the circular requires

A dual-registered entity must carry a prominent disclaimer, minimum 10 font size, stating explicitly that any other activities offered are not under SEBI's purview and that no complaints related to those other activities can be raised with SEBI. In practice this means a client-facing document has to draw a hard, visible line between what you do as an RA and what you do as an IA, not blend the two into one undifferentiated advisory relationship.

What dual registration does not simplify

Each registration keeps its own deposit requirement, its own annual compliance audit, its own record-keeping and its own fee-cap rules. Dual registration is permission to operate both business models under one practice, it is not a merged, lighter compliance track. Budget for two sets of obligations, not a discount on either.

Why a firm would want both

The two licences serve different client relationships: RA covers research and recommendations to subscribers without the per-client suitability and fiduciary load of advisory, IA covers personalised, suitability-based advice. A firm that starts as an RA and later wants to offer personalised portfolio advice to a subset of clients, or an IA that wants to also publish broader research, is exactly the case this circular is clarifying the path for. If you are already an IA weighing whether to add RA registration, see how Aktai supports the IA side of a dual-registered practice.

FAQ

Can a SEBI Investment Adviser also register as a Research Analyst?

Yes. SEBI's Master Circular for Research Analysts and Investment Advisers, dated February 6, 2026, explicitly states that an individual or partnership firm already registered as an Investment Adviser can also register as a Research Analyst, subject to the disclosure and segregation conditions the circular sets out.

Was dual registration not allowed before this circular?

Holding both registrations was possible before, subject to managing conflicts and segregation, but the February 2026 circular consolidates the applicable rules into one document with explicit conditions, rather than leaving practitioners to infer the position from separate IA and RA regulations.

What disclosure does dual registration require?

A prominent disclaimer, minimum 10 font size, explicitly stating that any other activities you offer are not under SEBI's purview and that no complaints related to those other activities can be raised with SEBI.

Does dual registration mean one lower compliance burden?

No. Each registration carries its own obligations, deposit, audit, and record-keeping requirements. Dual registration is permission to operate both business models under one practice, not a reduction in what either regulation independently requires.
